NON DISCLOSURE FOR PROSPECTIVE LICENSEES

YOU AGREE TO THE FOLLOWING:

I agree that as the result of my discussions to become a LICENSEE with DOMAIN MARKETING RESOURCES, TIM DILLARD, INC., dba TOPSINAMERICA.COM, I will acquire and have access to confidential information belonging to DOMAIN MARKETING RESOURCES of a special and unique nature.

I shall not, during the term of my discussions with DOMAIN MARKETING RESOURCES (DMR) and for a period of two (2) years after the cessation of such discussions with DMR disclose any secrets or confidential technology, proprietary information, customers, lists, marketing plans or trade secrets of DMR, or any matter or thing ascertained by me through my association with DMR and any of its associates, owners, employees, contractors or any other person or entity associated with DMR, the use or disclosure of which might reasonably be construed to be contrary to the best interest of DMR, its owners, employees and shareholders.

Should I become a Licensee, Employee, Contractor, Independent Contractor or Consultant of any kind for DMR, TOPS IN AMERICA, TIM DILLARD, INC., or any other affiliated brands owned by DMR, TOPS IN AMERICA, TIM DILLARD,INC., or any related organization or corporation or individual this agreement shall remain in force through my period of working with DMR and all associated entities for two (2) years after the termination of our working together as signified at that time in writing with a date of termination.

By submitting this agreement and completing the information, I recognize that the information will be verified to be true by DMR prior to the initiation of any discussions and that these discussions only begin once I have confirmed that all information presented here is correct and that I am in complete agreement and understanding of the principles and covenants set forth in this on-line (electronically presented) Non Disclosure Agreement.

PLEASE COMPLETE ALL INFORMATION BELOW ACCURATELY.

NO ERRORS ON YOUR PART WILL INVALIDATE THIS AGREEMENT.  IF YOU ARE SHOWN THE PROPRIETARY INFORMATION BY DMR, IT IS ACKNOWLEDGEMENT OF OUR RECEIPT OF THIS DOCUMENT AND THE ASSUMPTION THROUGH BEST MEANS AVAILABLE THAT THE INFORMATION PROVIDED BY YOU IS CORRECT.
